Reference is made to the stock exchange announcement from Zwipe AS ("Zwipe" or the "Company") dated 27 October 2020 with the preliminary results of the subsequent offering of up to one million new shares (the "Subsequent Offering"), each with a nominal value of NOK 0.10 and at a subscription price of NOK 15.00 (the "Offer Shares").

The subscription period for the Subsequent Offering expired on 27 October 2020 at 16:30 hours (CET). By the end of the subscription period, the Company had received valid subscriptions for 4,073,802 Offer Shares.

The board of directors of Zwipe has today resolved the allocation related to the Subsequent Offering in accordance with the allocation criteria presented in the prospectus dated 19 October 2020. A total of 740,736 Offer Shares were allocated based on subscription rights and a total of 259,264 Offer Shares were allocated based on over-subscriptions of 1,829, 982 new shares made by holders of subscription rights. No Offer Shares were allocated to subscriptions of 1,503,084 new shares made by investors without subscription rights.

Furthermore and in order to complete the Subsequent Offering, the board of directors has resolved the capital increase pertaining thereto, and hereunder resolved to increase the share capital with NOK 100,000 through issuing 1,000,000 new shares each with a nominal value of NOK 0.10 and at a subscription price of NOK 15 per share, giving gross proceeds of NOK 15 million. The resolution was made by the board of directors on basis of the authorization granted by the general meeting on 29 September 2020.

The following primary insiders or close associates of primary insiders have been allocated Offer Shares in the Share Issue.

  • Primary Insider Concito AS, owned by Pål Eivind Vegard, board member of Zwipe, was allocated 32,477 Offer Shares in the Subsequent Offering. Following this transaction, Pål Eivind Vegard owns 568,087 shares in the Company through Concito AS
  • Primary Insider Feat Invest AB, a company where board member of Zwipe, Johan Biehl, is a board member, was allocated 18,280 Offer Shares in the Subsequent Offering. Following this transaction, Feat Invest AB owns 319,780 shares in the Company
  • Primary Insider Johan Biehl, board member of Zwipe, was allocated 12,169 Offer Shares in the Subsequent Offering. Following this transaction, Johan Biehl owns 212,883 shares in the Company
  • Primary Insider Dennis Jones, board member of Zwipe, was allocated 2,728 Offer Shares in the Subsequent Offering. Following this transaction, Dennis Jones owns 65,228 shares in the Company
  • Primary Insider Diderik Schonheyder, board member of Zwipe, was allocated 302 Offer Shares in the Subsequent Offering. Following this transaction, Diderik Schonheyder owns 5,302 shares in the Company

The Company will on 29 October distribute allocation letters with payment information to all subscribers who have been allocated Offer Shares. The due date for payment is on or about 30 October 2020. Delivery of the Offer Shares is expected to take place on or about 6 November 2020, through the facilities of VPS and Euroclear. Trading in the Offer Shares on Merkur Market or Nasdaq First North Growth Market (as the case may be) is expected to commence on or about 6 November 2020. Q3 2020 highlights and recent developments

During the third quarter, Zwipe has continued to strengthen its foundation for mass-volume roll out of biometric payment cards.

  • Zwipe and Publicenter, the largest Italian SCM, launched a collaboration aimed at bringing the next generation contactless experience, powered by Zwipe Pay ONE, to financial institutions and consumers across Europe
  • Zwipe and Liveo Research, a major supplier of PVC materials to some of the world’s largest card manufacturers, partnered to enhance the biometric payment card offering, optimizing the route to efficient and scalable manufacturing of biometric payment cards
  • Zwipe and Smart Technology Services, one of the world’s first equipment manufacturers to develop a biometric payment card milling and embedding enabled system, partnered to industrialize Zwipe Pay ONE
  • Zwipe and Wisecard, a leading supplier of EMV personalization and payment solutions based in Shenzhen, China, joined forces to drive the mass market adoption of biometric payments cards
  • Zwipe and CardMatix, a leading player in the development of industrial manufacturing and testing equipment specifically for mass production of payment cards, announced collaboration on the design, development and commercialization of equipment and modular solutions to support milling and embedding of fingerprint sensors for biometric payment card manufacturing at mass volumes
  • Zwipe successfully completed a private placement of 6,381,315 shares, raising approximately NOK 96 million in gross proceeds

Subsequent Events

  • Zwipe and TietoEVRY joined forces with a landmark agreement to deliver biometric payment solutions on Zwipe Pay ONE to banks in the Nordic and Baltic regions. The agreement significantly increases Zwipe’s sales presence and impact in the home market of Zwipe, as TietoEVRY is the leading provider of payment cards in this region
  • Zwipe, and areeba, one of the Middle East’s leading financial technology companies and payment service providers, are partnering to bring Zwipe Pay ONE enabled biometric payment solutions to banks across the Middle East and North African markets. As part of this collaboration, areeba has agreed to work exclusively with Zwipe in delivering biometric payment solutions
  • Zwipe and Inkript, a digital security provider in the Middle East and Africa region, launched a joint project to deliver Zwipe Pay ONE solution to banks across the Middle East. Inkript placed an order with Zwipe to commence small-scale production
  • Zwipe, following significant market traction, placed an order for 300,000 units of IDEX’s next generation fingerprint sensors to support the rollout of Zwipe Pay ONE to a growing list of smart card manufacturers and issuers in Europe, the Middle East, the Americas and Asia

“During the third quarter Zwipe has continued to take significant strides in cementing our position in the global payment ecosystem and towards commercialization.

We have maintained momentum in expanding our network of smart card manufacturing customers while also growing our capacity to support larger-scale deployment of our commercial offering in 2021. In addition to the new customers that have been announced, the strategic technical partnerships we have formed this quarter will be instrumental in preparing the biometric payment card industry for efficient scaling.

By implementing numerous cross-industry commercial collaborations we are creating an offering that sets us apart. Zwipe’s objective is to deliver a solution that offers both technology and cost leadership to our smart card manufacturing customers. In addition, we also advise card issuers on how to simplify the value proposition of biometric payment solutions by supporting the entire process of launching a new biometric payment product. This market position has also generated strong support from international institutional investors, translating into a successful private placement carried out during the period. We raised gross MNOK 96, funding the company through commercial launches in 2021 and beyond. The chairman of the Board participated in the private placement with MNOK 5, and since his purchase was subject to approval by the extraordinary general meeting, this was registered in October. The general meeting also enabled us to initiate the process for the repair issue of up to 1,000,000 new shares to be held in October, as announced today, October 20th.

After the period we entered a commercial partnership with TietoEVRY, which marks a significant milestone for Zwipe. Thanks to TietoEVRY’s deep relations with virtually all banks in the Nordics and Baltics, we see strong potential in supporting the launch of biometric payment cards powered by Zwipe Pay ONE in this region and beyond, meaningfully increasing our sales capacity and impact. The fact that TietoEVRY is now actively going after the biometric payment card market with Zwipe is a further validation of our belief in the market to come and that Zwipe will have a major role and position in that market.

With these exciting developments pushing Zwipe forward we are further strengthening our team to be ready to serve a mass-volume market. Consequently, we have completed several key recruitments within quality management, project management, certification, sales, and product management. In addition, as we are seeing that our pull strategy and professional service offerings receive strong interest from our customers and partners, we are bringing in additional resources that will anchor this emerging business vertical for Zwipe. Financial Update     

  • Revenues in Q3 2020 were MNOK 0.1 (1.0). Accumulated revenues for the year to date amount to MNOK 1.0 (1.3).
  • The cost program announced in November 2019 is running ahead of target, with average monthly operational cash outflow during Q3 2020 of MNOK 4.4 vs MNOK 7.6 in Q3 2019.
  • The closing cash balance at end of Q3 2020 was MNOK 117.3, which is an increase of MNOK 74.1 from Q2 2020. The development in cash balance since Q2 2020 is a result of the private placement with net cash effect of MNOK 85.7 for the first tranche, the third of four stages of our joint technology investments with Idemia of MNOK -10.2, the grant from EU’s Horizon 2020 program of MNOK 9.8, operational cash outflow of MNOK -13.3 for the quarter and other minor items of total MNOK 2.1.

Reference is made to the stock exchange announcement by Zwipe AS ("Zwipe" or the "Company") on 7 September 2020, regarding the successfully completed private placement with gross proceeds of approximately NOK 96 million (the "Private Placement"). In the said release, the board of directors of the Company (the "Board") announced that it intended to carry out a subsequent offering of up to 1,000,000 new shares (the "Offer Shares" and the "Subsequent Offering") towards shareholders of the Company who was not allocated shares in the Private Placement, provided that an extraordinary general meeting to be convened without delay made a new authorization to the Board to issue shares to strengthen the Company's equity. Such authorization was provided to the Board by the extraordinary general meeting on 29 September 2020. On this basis, the Board has now decided to proceed with the Subsequent Offering.

In the Subsequent Offering, Eligible Shareholders, being shareholders of the Company as of 7 September 2020, and consequently registered in the Company's shareholders' registers in VPS or Euroclear Sweden AB ("Euroclear") on 9 September 2020 (the "Record Date"), will be granted non-transferable subscription rights (the "Subscription Rights") that, subject to applicable law, provide preferential rights to subscribe for and be allocated Offer Shares at the Subscription Price (as defined below). Exceptions to the above are existing shareholders who (i) were allocated shares in the Private Placement and/or (ii) are resident in a jurisdiction where such offering would be unlawful or, for jurisdictions other than Norway and Sweden, would require any filing, registration or similar action.

The subscription period in the Subsequent Offering commences today, on 20 October 2020 at 09:00 hours (CEST) and will end on 27 October 2020 at 16:30 hours (CET) (the "Subscription Period"). The subscription price in the Subsequent Offering is NOK 15.00 per Offer Share (the "Subscription Price"), which is equal to the subscription price in the Private Placement.

Eligible Shareholders will be granted 0.04366 Subscription Rights for each share in the Company registered as held by such Eligible Shareholder on the Record Date, rounded down to the nearest whole Subscription Right. Each whole Subscription Right provides a preferential right to subscribe for, and be allocated, one Offer Share at the Subscription Price, subject to applicable securities laws. Over-subscription and subscription without Subscription Rights is permitted, and over-subscriptions made by holders of Subscription Rights will in the allocation be prioritized before subscriptions made by holders without Subscription Rights, cf. the details on the allocation in the Prospectus (as defined below) section 5.8 "Allocation of Offer Shares".

In order to subscribe for shares, Eligible Shareholders must provide the Manager (as defined below) with a complete and duly signed application form within the end of the Subscription Period. Applications for Offer Shares by investors in Norway should be made using the application form attached to the Prospectus, while investors in Sweden should use the application form for the Swedish market made available in a separate document on the same websites as the Prospectus (www.zwipe.com and www.arctic.com/offerings). Norwegian citizens may also subscribe through the VPS online system. Further instructions regarding the subscription procedure is available in the Prospectus (as defined below) section 5.7 "Application procedures". The Subscription Rights must be used to subscribe for Offer Shares before the expiry of the Subscription Period on 27 October 2020 at 16:30 hours (CET). Subscription Rights that are not used to subscribe for Offer Shares before 16:30 hours (CET) on 27 October 2020 will have no value and will lapse without compensation to the holder.

Completion of the Subsequent Offering is subject to (i) the Board resolving the Subsequent Offering and allocating the Offer Shares, and (ii) registration of the capital increase pertaining to the Subsequent Offering with the Norwegian Register of Business Enterprises.

Notifications of allocation in the Subsequent Offering are expected to be issued on or about 28 October 2020. The due date for payment of allocated Offer Shares is on or about 30 October 2020. Delivery of the Offer Shares is expected to take place on or about 6 November 2020, through the facilities of VPS and Euroclear. The Zwipe Pay ONE solution with IDEX’s next generation fingerprint sensor will be released for customer pilots in the fourth quarter of 2020 followed by mass-volume deployment in 2021.

Approval of capital increase directed against the chair of the Board

The general meeting resolved to approve the board's use of the authorization to increase the share capital to strengthen the Company's equity to issue and allocate 333,333 shares to the chair of the board of directors in the board meeting on 7 September 2020 on the terms that were stated in the company’s announcement on 7 September 2020.

The Board proposed that a new authorization for the Board on capital increases are issued, to cater for strengthening of the Company's equity, including to facilitate for a potential repair issue (extract, please refer to the attachment to the notice for the complete proposal).

The Extraordinary General Meeting resolved to approve that the General Meeting granted a new authorization to the Board to issue shares corresponding to up to 10% of the share capital after both the capital increases under the Private Placement have been completed. The new authorization shall be restricted to issue shares to strengthen the Company's equity to the extent the Board considers this to be in the Company's best interest at the given time.

The authorization shall remain in force until the end of the annual general meeting 2021, however not beyond 30 June 2021. The pre-emptive right of the shareholders to subscribe may be set aside.

Resolution to amend the provision in the articles of association on notice period for the general meeting

The general meeting resolved to amend article 10 of the articles of association so that the notice period to the general meeting (ordinary and extraordinary) is 7 days.

OSLO NORWAY – 22 NOVEMBER 2022 - The Board of Directors of Zwipe AS (the "Company" or "Zwipe") has today resolved to propose a preferential rights issue of 20,862,047 new shares (the "Offer Shares"), for a subscription price of NOK 4.80 per Offer Share, raising gross proceeds of approximately NOK 100 million with preferential rights for existing shareholders (the "Rights Issue"). The Rights Issue is fully guaranteed through a combination of subscription commitments and underwriting commitments. The Rights Issue requires the approval by the extraordinary general meeting of the Company expected to be held on 2 December 2022 (the "EGM") to be implemented. The notice of the extraordinary general meeting will be published in a separate press release.

Background and reason for the Rights Issue

Zwipe is a Norwegian biometric technology company established in 2009, focused on developing and commercializing secure, fast, and easy-to-use biometric authentication solutions with broad applications across key verticals such as payments and access control. Since 2019, card manufacturers have started the process of launching biometric payment card specific manufacturing lines, semiconductor providers have begun the development of dedicated offerings for this market, and the entire value chain supporting these processes has started moving more consistently. At the same time, Zwipe has made significant progress and added numerous smart card manufacturing customers across the world, significantly broadening their customer base. In addition, Zwipe has entered multiple important partnerships to enhance their go-to-market strategy and accelerate the adoption of biometric payment cards.  Pilots have started and give the Company insights in its progress towards commercial adoption of its offerings.

In 2022, Zwipe has achieved a number of important milestones. The Company received its single largest commercial order for Zwipe Pay in a single quarter totalling $225,000. The Zwipe Pay Biometric Payment Card Platform received certification from both Visa and Mastercard, and the Fraport biometric access control project at Frankfurt Airport was successfully completed. Catering to the strong demand for access control solutions in the market, Zwipe is now engaging with a number of system integrators and distributors to accelerate the deployment of biometric access cards in key verticals and markets.

The Rights Issue is carried out in order to strengthen the Company’s financial position and enable the transition from start-up to scale-up.

Key terms of the Rights Issue

  • Issue of 20,862,047 Offer Shares for a subscription price of NOK 4.80 per Offer Share to be paid in cash.
  • Through the Rights issue, Zwipe will raise gross proceeds of approximately NOK 100.1 million before issue costs, which are estimated to amount to NOK 13.5 million, of which approximately NOK 9.2 million is compensation for the guarantee.
  • One (1) existing share in Zwipe held on the record date of 1 March 2023, entitles the holder to one (1) subscription right. Nine (9) subscription rights entitle the holder to subscribe for five (5) Offer Shares.
  • The subscription period is expected to run during the period 6 – 20 March 2022.
  • Subscription rights that are not exercised during the subscription period become invalid and lose their value. Trading in subscription rights is planned to take place on the Euronext Growth Market and Nasdaq First North Growth Market during the period 6 – 15 March 2022.
  • The Rights issue means that the Company's share capital increases by NOK 2,086,204.70, implying a dilution of 35.7 percent.

Underwriting obligations and guarantee commitments

The Rights Issue is fully guaranteed through a combination of subscription- and underwriting commitments. The subscription commitments are entered into with the Company’s largest shareholders, including Chairman of the Board Jörgen Lantto, and amount to approximately NOK 34.5 million, corresponding to approximately 34.5 percent of the Rights Issue. The underwriting commitments amount to approximately NOK 65.6 million, corresponding to approximately 65.5 percent of the Rights Issue. The underwriting commitments are entered into with three of the Company’s largest owners, Vasastaden Holding AB, Erik Selin Fastigheter AB and Arcanum Eiendom AS (controlled by Lars Windfeldt) pursuant to underwriting agreements entered into with each of them on 22 November 2022. The commitments and underwriting commitments are not secured by bank guarantee, escrow funds, pledging or similar arrangements. Pursuant to, and subject to, the terms and conditions set out in the underwriting agreements and the subscription commitments, the underwriters and pre-committing subscribing shareholders have undertaken to vote their shares held at the time of the EGM in favour of the Rights Issue and all underwriters have undertaken to guarantee on a several basis (not jointly) to subscribe for the Offer Shares, for a total underwritten amount of NOK 100,137,825.6 million, less any subscriptions covered by the subscription commitments. The Offer Shares which are not subscribed upon expiration of the subscription period (if any), will thus be subscribed by and allocated to the underwriters.

Other information pertaining to the Rights Issue

In connection with the Right Issue, a prospectus will be prepared, which is subject to the approval by the Norwegian Financial Supervisory Authority and which will be passported to Sweden. The prospectus will be published prior to the commencement of the subscription period and will form the basis for subscriptions in the Right Issue. Provided that the prospectus is approved by the Norwegian Financial Supervisory Authority and passported to Sweden in time, the subscription period for the Rights Issue will commence on 6 March 2023 and expire 20 March 2023 at 16:30 hours (CET). In the event that the prospectus is not approved in time to uphold this subscription period, the subscription period will commence on the second trading day on the Oslo Stock Exchange following the approval of the prospectus and expire at 16:30 hours (CET) two weeks thereafter.

The shareholders of the Company on 27 February 2023 (and being registered as such in the Norwegian Central Securities Depository, Euronext Securities Oslo, (the "VPS") as at the expiry of 1 March 2023 (the "record date")) will be granted one (1) preferential subscription right for each share registered as held by the shareholder as of the record date. Nine (9) preferential rights will give the right to subscribe for and be allocated five (5) Offer Shares in the Rights Issue (i.e. the holding of less than nine (9) preferential rights will not give the right to subscribe for any Offer Shares in the Rights Issue). Provided that a purchase of shares is made with ordinary T+2 settlement, shares purchased up to and including 27 February 2023 will give the right to receive subscription rights, whereas shares purchased from and including 28 February 2023 will not give the right to receive subscription rights. The subscription rights are expected to be tradable and listed on Euronext Growth Oslo and Nasdaq First North from and including the first day of the subscription period and until 16:30 (Oslo time) four trading days prior to the expiry of the subscription period. Over-subscription and subscription without subscription rights will be permitted.

A further description of the Rights Issue and of other circumstances that must be considered upon subscription of shares in the Rights Issue will be included in the prospectus for the Rights Issue, which will be published no later than the first trading of the subscription period and that will constitute the subscription material for the Rights Issue.

Change in share capital and number of shares and dilution

Upon completion of the Rights Issue, the share capital in the Company will be increased by NOK 2,086,204.7, from NOK 3,755,168.50 to NOK 5,841,373.20, through the issuance of 20,862,047 new shares. The number of shares thus increases from 37,551,685 to 58,413,732 shares. For existing shareholders who do not participate in the Rights Issue, this means, in the case of full subscription, a dilution effect of 35.7 percent of capital and votes in the Company.

Significant events during the period

  • Mastercard certifies Zwipe Pay Biometric Payment Card (“BPC”) Platform.
  • Tag Systems, a major Zwipe Smart Card Manufacturer (“SCM”) customer, obtains Mastercard Letter of Approval (“LoA”) for cards built on the Zwipe Pay platform.
  • Fraport announces that the project on biometric access control at Frankfurt Airport (The Digital Factory Project) was successfully completed, with Zwipe passing all required tests in order to successfully complete the pilot project.
  • Zwipe’s SCM customers have expanded the issuer pipeline significantly - engagements started with 10 new large issuers globally.
  • Zwipe creates Customer Success department to accelerate pilot execution and names Jens Hansen to head the unit.

Significant events after the period

  • On 11 October 2022, Zwipe announced a significant commercial order for Zwipe Pay totaling $225,000 from a large European SCM, making it the single largest commercial order in a quarter to date for Zwipe. Delivery is targeted for the fourth quarter. 
  • On 14 October 2022, Civix announced a partnership with Zwipe to bring biometric access control cards to airports in the USA and elsewhere in the Americas.

Operational review

In August 2022, Zwipe received the Component Conformity Statement (CCS) certificate from Mastercard, a significant milestone for the Zwipe Pay platform. With this certification, Zwipe became the first biometric payment card platform available to SCMs to achieve scheme approvals from both VISA and Mastercard.  Soon after this announcement, Tag Systems was the first of our SCM customers to receive approval by Mastercard to deploy their biometric card products using the Zwipe Pay platform.  Certification from Mastercard is expected to further accelerate issuer pilots and planned launches based on Mastercard's network.

Zwipe continues to focus on executing our signed issuers’ pilots.  In total, seven issuer pilot projects are progressing according to issuer plans – including our first major announced pilot, the global Tier-1 bank pilot and the MEPS pilot. Additional pilot launches are expected in the coming quarters, with start dates to be defined by issuers. Zwipe’s SCM customers also saw a significant expansion in their issuer pipelines during the quarter, beginning engagements with ten new large and medium sized banks – primarily in the Latin America (“Latam”) and Asia Pacific (“APAC”) regions.

We also continued to make significant progress for Zwipe Access during the third quarter. In July, Fraport AG announced the conclusion of The Digital Factory – Biometric Security Controls project at Frankfurt Airport. Zwipe Access cards were tested by Fraport employees in real-time and passed all project requirements successfully. Zwipe is now shortlisted as a suitable contender to provide next generation access control when Fraport moves forward. Just after the end of the third quarter, Civix, one of America’s leading providers of security solutions to over 100 airports in North and Latin America, selected Zwipe’s access control technology to augment their security propositions for airport operations – further enhancing Zwipe’s position in the airport vertical.

On the technology side, the R&D team has continued to make good progress on finalizing our mobile enrollment solution for both Android and iOS, ensuring value-added enhancements that will enable consumers to have a seamless enrollment experience. 

Zwipe also took an important step by establishing a dedicated Customer Success team to accelerate pilot execution.  Jens Hansen was recruited to lead this department and becomes a member of the Zwipe Leadership Team, while several employees were transferred to the Customer Success unit.

Most importantly, Zwipe is ending the year with strong momentum, having announced the single largest commercial order in a quarter to date for Zwipe. Further traction with this SCM and others is expected in 2023.

Financial review

Zwipe had total revenue of 0.8 mNOK during Q3 2022 versus revenue of 0.4 mNOK in Q3 2021. Net cash flow from operations was -24.2 mNOK versus -15.8 mNOK in Q3 2021, equating to an underlying average monthly operating cash flow in the third quarter of 2022 of -8.0 mNOK.  Cash and cash equivalents stood at 85.8 mNOK at the end of Q3 2022 compared to 183.7 mNOK at the end of Q3 2021.

Biometric smart cards increase security, reduce time and costs

NEW ORLEANS, LOUISIANA and OSLO, NORWAY – 14 October 2022 – In partnership with Zwipe, Civix is expanding its Aviation Secure Credentials (ASC) suite of solutions with a biometric smart card for access control. The ASC Access Cards use built-in fingerprint sensors to check the legitimacy of cardholders at points of entry. The cards are fully compatible with traditional NFC card readers, so airports can use them to implement two-factor authentication without upgrading the existing hardware. The solution is also contactless, a priority for high-traffic facilities, like airports, in light of COVID-19.

“We’re excited to continue expanding on our end-to-end suite of security solutions for airport secure credentials with the addition of ASC Access cards,” said Tim Walsh, President of Civix Airports, a trusted partner to the FAA, state aeronautics departments, and over 100 airports worldwide. “The icing on the cake is that ASC Access cards work with existing hardware, meaning airports save costs and avoid holdups associated with complicated implementation and supply chain delays.”

ASC Access cards work by giving each user a card containing their unique fingerprint data in a secure chip. When placed near a reader, the card compares the fingerprint of the person holding the card with the fingerprint data stored on the card. If they are a match, the card generates an access code and directs the control infrastructure to grant access.

“Basically, the person assigned to the card must be holding it in order to get access. It’s a simple way for airports to improve security,” Walsh explained. The authentication process is self-contained within the card, so biometric data is not transmitted and separate biometric reader hardware is not required.
