OSLO, NORWAY – 25 August 2022 – Zwipe AS, a leading provider of biometric payment card solutions, is proud to announce that it has obtained the Component Conformity Statement  (“CCS”) certificate from Mastercard for the Zwipe Pay platform, the most advanced and integrated biometric card solution available to all Smart Card Manufacturers (“SCMs”) in the market today.

This CCS certificate enables Zwipe’s customers, the SCMs, to leverage Zwipe’s certification results to obtain a Letter of Approval ( “LoA”) from Mastercard for their own biometric payment cards built on the Zwipe Pay platform.

Zwipe successfully passed all tests required to obtain the Mastercard CCS certificate. This certification confirms that the Zwipe Pay biometric payment card platform meets all the security, reliability, functionality, and performance standards required by Mastercard.  Zwipe’s complete end-to-end biometric payment card platform is now ready for full adoption by SCMs to produce Mastercard cards.

Operational highlights

  • Visa certifies Zwipe Pay Biometric Payment Card (“BPC”) Platform and issues Letter of Approval (“LoA”) to Zwipe.
  • Beautiful Card Corporation (“BCC”), TAG Systems and Inkript obtain Visa LoAs for their own card built on the Zwipe Pay platform.
  • Fraport AG, providing operational services to 31 airports globally, selected Zwipe Access as one of two solutions to test in a pilot of next generation access control solutions at Frankfurt Airport.
  • Zwipe Access platform was successfully integrated with LEGIC and HID solutions to provide seamless end-to-end biometric card-based access control security to enterprises and facilities.
  • Seven new issuers across Germany, India, the Middle East and Africa signed up with Zwipe to launch pilots.
  • Placard, the largest payment smart card supplier in Australia and New Zealand, selected the Zwipe Pay platform for delivering biometric payment cards to banks in the region.
  • Significant organizational development with Robert Puskaric joining as the new CEO in June, Danielle Glenn as the new CFO in May and Patrice Meilland as the new Chief Strategy and Product Officer in April.

 

Financial highlights

 

Review

In H1 2022, we signed seven new issuers for Zwipe Pay, from Germany to India and across the Middle East. All of them are planning pilots with our card manufacturing partners, although we have learned that pilot preparation is taking longer than previously expected. We also expanded our global delivery capabilities and market reach by signing one major SCM and onboarding two leading personalization solution providers as go-to-market (“GTM”) partners.

Zwipe is pursuing an “execution first” approach focusing on launching announced pilots. In total, seven issuer pilots are progressing with good pace and according to issuer plans. Additional pilot launches are expected in the coming quarters, with launch dates entirely dependent on issuer decisions. We are also focused on “execution first” with our SCM customers – getting all certified and ready for mass volume production. While these remain our top priorities, Zwipe continues expanding our customer and issuer pipeline – critical to our medium-term success.

In March, Zwipe completed the certification process with Visa and obtained the Visa LoA. This certification marks a major milestone towards commercialization of Zwipe Pay and was followed by Visa LoAs obtained by lead customers BCC, TAG Systems and Inkript. This list is expected to grow significantly going forward. Zwipe has successfully completed additional testing with third party laboratories that should ease additional payment scheme certifications.

It is undeniable that market takeoff of biometric payment cards has been slower than envisioned. BPC volumes deployed are expected to remain fairly low into 2023, before growing exponentially thereafter.  Zwipe is not immune to the delayed market takeoff, but our customers and partners remain committed to launching pilots and commercial propositions, even if somewhat later than originally planned. Furthermore, consumer demand for BPCs remains strong with 82% of individuals surveyed by Zwipe saying that they want their next card to be biometric and 60% saying they would consider switching to banks who offer biometric cards. Importantly, most third-party research continues to point to BPCs accounting for 15-20% of total EMV units shipped by 2030 (estimated at 3-4 billion units), highlighting just how large the market potential remains.

For Zwipe Access, we now have a healthy and growing list of opportunities within the data center and airport verticals as well as other security sensitive customer segments. The growing number of requests for Zwipe Access solutions is driven by increasing demand for stronger data privacy, higher security and better user experience. Indeed, Zwipe was recognized by Fraport, operating 31 international airports globally, as a potential provider for next generation security solutions at their airports.  Fraport’s initial trials have now been completed and they are evaluating possible next steps.

There were substantial changes in the executive management team at Zwipe during the first half, with three of the six-member C-suite newly joining the company – strengthening leadership, bringing industry expertise and positioning Zwipe well for the future.

 

Financial review

Zwipe reported total revenues of 0.8 mNOK during H1 2022 versus 1.4 mNOK in H1 2021. On an adjusted basis, total operating expenses increased by 13.3 mNOK to 48.4 mNOK in H1 2022 versus H1 2021.  The majority of this increase was due to personnel expenses, which increased by 9.1 mNOK to 25.9 mNOK in H1 2022 versus H1 2021. Of the 9.1 mNOK, 5.5 mNOK were one-off costs related to former executives leaving the company. The remaining increase in personnel expense is largely due to an increase in headcount by 13 people to meet the strong demand for the company’s solutions and to prepare for piloting and deployment of our card payment solutions and services.

Zwipe’s cash position remains strong, with cash and cash equivalents at 109.7 mNOK on 30 June 2022.

Total equity as of 30 June 2022 was 108.8 mNOK resulting in an equity ratio of 89%, roughly stable versus the position at the end of the first half of 2021.

 

The way forward

Zwipe is progressing well in many important areas even if the market for biometric payment cards is developing at a slower pace than expected. Operating expenses and headcount are not expected to increase substantially in H2 vs H1 2022 nor at the pace expected at the start of the year. Zwipe will, however, continue to invest intelligently – particularly in its people and technology.

For Zwipe Pay, second half priorities will center on pilot deployment with issuers, assisting SCMs in becoming mass production and delivery ready, and continuing to expand our customer and issuer pipeline.  Further developing the dedicated customer project management function and standardized blueprint to improve pilot execution will be a key focus during H2 2022.

Going forward, Zwipe Access is expected to contribute a larger part of revenue than previously assumed.  The pipeline for Zwipe Access is healthy and growing with prospects within the data center and airport verticals as well as other security sensitive customer segments.

I am delighted to begin this new journey as the CEO of Zwipe. Since day one, I have felt thoroughly welcomed and enjoyed the energy, engagement and competencies that we have in the team.

I would like to start by saying a big thanks to all Zwipers for working tirelessly and to André Løvestam for having been such a strong ambassador of next generation biometric cards for many years.

More card manufacturers, payment processors, banks and enterprises than ever before are today committed to launch their next generation card programs with Zwipe. My sincere thanks to our customers and partners for their continued confidence in our platform. Throughout H1 2022, we continued to grow our customer and partner base at a strong pace.

  • We signed with six new issuers, from Germany to India and the Middle East. All of them are now engaged with our card manufacturing partners and other players in the value chain to launch their new cards.
     
  • In the APAC region, we strengthened our market position significantly with Placard (largest card manufacturer in Australia and New Zealand), Modularsoft (Malaysia’s largest payment card personalization bureau) and Wisecard (one of APAC region’s largest EMV Software providers). All these leading brands selected Zwipe Pay platform in launching their next generation payment cards.
     
  • On the technology side, our Zwipe Pay platform received the Letter of Approval (LoA) from Visa, which was followed by confirmations of Visa certification from our three lead customers (Tag Systems, BCC and Inkript). This list will only grow from here.
     
  • Fraport, operating in 31 international airports (including Frankfurt, New York (JFK), New Jersey (EWR) and New Delhi) shortlisted the Zwipe Access platform for their new access card program. Pilot is now underway, and we are expecting a decision before the end of the year. 

We also strengthened our organization by welcoming Patrice Meilland as Chief Strategy & Product Officer and Danielle Glenn as CFO & Head of IR. Patrice joins from his position as the SVP of Advanced Cards in Idemia. Danielle brings substantial financial markets experience from the likes of Goldman Sachs and her most recent role as the CFO of Arctic Bioscience. With a strong focus on ensuring deliveries and successful launches, we have also strengthened our engineering teams.

Throughout H1 2022, we continued to investigate consumers’ payment preferences and their feedback on biometric payment cards. From Austria to Australia, Italy to Taiwan, Malaysia to The Netherlands and Germany, consumers’ interest in biometric payment cards remained consistent and very strong. This is encouraging, not just for Zwipe but for all our customers, partners and industry peers who just like Zwipe are on a mission to deliver the next generation payment and access control experience worldwide.

CEO comments 

"2021 was a transformative year for Zwipe, preparing the ground for commercial success in 2022.  

Our technology platform was upgraded to a cutting-edge, third-generation single silicon platform that provides best-in-class biometric performance at highly competitive cost levels. We prepared for submission of reference cards based on Zwipe Pay components to accredited laboratories for certification by both Visa and Mastercard. The submission has been made and, together with our biometric card manufacturing partners, the certification tests are proceeding according to plan. Based on this, and the core components in our Zwipe Pay platform being validated through Idemia’s certifications obtained in November 2021, we are confident we are closing in on certification as planned.

During 2021 we have also continued to build commercial momentum. We announced engagements with nine new smart card manufacturers and card personalization bureaus during the year, representing an annual volume above 250m payment cards. We also extended and expanded our partnership with TAG Systems, which delivers an additional 100+ million payment cards per annum. Each new partner and customer in our ecosystem contribute to increasing the value creation potential and reducing the risk for Zwipe and its stakeholders.

A great milestone for Zwipe in 2021 was the receipt of commercial orders from BCC, Inkript, and yet another card manufacturing customer for complete Zwipe Pay deliveries worth more than NOK 20m, to be delivered primarily in 2022. 

As a complement to our "push" approach, targeting smart card manufacturers as our direct customers, we continued to broaden our go-to-market strategy with the "pull" approach. That means we are marketing the benefits of biometric cards to partners and indirect clients, such as financial institutions – our customers’ customers. This move has allowed us to accelerate awareness, create strong demand for our biometric payment option, take more control of our destiny, and significantly strengthen our strategic position and brand equity. 

The results of these efforts started coming to fruition in 2021, when Zwipe announced commitments for 14 pilots with 11 new issuers, including a global Tier-1 bank that will pilot Zwipe Pay in three European markets. We also entered go-to-market and implementation partnerships with many payment processors and, most recently, a major US company that is one of the world’s largest payment services providers. Such partners enable us to leverage their long-term, trust-based relationships with hundreds of banks worldwide to further accelerate the deployment of biometric payment cards built on our platform. I often refer to this as “the Megaphone Effect”, which is fundamental to our pull strategy.

We have upgraded our sales-enabling services and tools to support these processes and our customers. For example, this has resulted in the launch of new services such as "Zwipe Experience" (pilot and launch program services) and Zwipe Insights (consumer research to gauge demand for biometric payments), to name a few. The ROI calculator for issuers, created together with industry experts, is another example. It demonstrated that, even without an additional card fee from consumers, Zwipe Pay could deliver a $22.4m annual net benefit for an average US issuer converting a portfolio of 1 million credit cards, 1 million debit cards, and 100,000 commercial cards to biometric cards. 

As part of our end-to-end offering, ranging from leading technology to professional sales enablement, these kinds of services and initiatives make Zwipe stand out from the crowd, adding considerable value to customers.

In addition, Zwipe announced its first entry into adjacent sectors, starting with the launch of “Zwipe Access”, building on years of investments into our advanced biometric authentication technology platform designed to fulfil the highest criteria for security, scalability, and mass-volume implementation. At the same time, we announced collaborations with several leading companies in the security industry; notably HID Global, LeGrand, and Southco. This coalition will bring a highly advanced, cost-effective biometric authentication solution to market, fully capable of working with existing access control infrastructure. 

We also raised NOK 104 million in a private placement directed towards one of the Nordic’s most respected investors, Erik Selin. This means that our shareholder base and finances have been significantly strengthened in 2021. 

Adding to our confidence in our future outlook is the consistent evidence from numerous consumer surveys covering more than 2,500 cardholders from diverse markets around the world that cardholders want the touch-less and PIN-free experience with world-class security that is made possible by biometric payment cards. 56% said they were willing to pay to get a biometric card and 57% said they were willing to switch banks to get a biometric card. These findings, which are consistent with survey findings of industry peers and other analyst reports, suggest that launches of biometric cards will offer valuable differentiation to first-moving banks and trigger competitive reactions from others. 

Like most other companies engaged in multinational development projects, Zwipe has, as mentioned before, been impacted by COVID-19 through added complexity and extended lead times. However, I have been impressed by the grit and determination of my team and technology partners, systematically overcoming hurdles and setbacks along the way. 

I want to express my deep gratitude to the exceptional team of Zwipers for their unfailing efforts through this challenging pandemic which has taken its toll on everyone.
